These Terms of Service ("Terms") govern your access to and use of the website acuradocs.com and related services provided by Charles Snedden t/a Acuradocs ("Acuradocs," "we," "our," or "us"). By accessing or using the Services, you agree to these Terms.

1. Accounts & Eligibility

You must be at least the age of majority in your jurisdiction to use the Services. You are responsible for your account credentials and for all activity under your account.

Some features may require a paid subscription. Prices, billing intervals, and plan details will be presented at purchase. You authorize us and our payment processors to charge your payment method for fees and applicable taxes. Unless stated otherwise, subscriptions renew automatically until canceled.

4. Customer Content

You retain all rights to documents, templates, and other content you upload or create ("Customer Content"). You grant Acuradocs a limited license to host, process, transmit, and display Customer Content solely to provide the Services and as otherwise permitted by you (e.g., sharing or integrations). You are responsible for obtaining rights to Customer Content and ensuring it does not violate law or third‑party rights.

5. Intellectual Property

The Services, including software, UI, and brand elements, are owned by Acuradocs and its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted, we reserve all rights.

6. Third‑Party Services & Integrations

The Services may interoperate with third‑party products (e.g., CRM, storage, signing). Your use of third‑party services is governed by their terms, and we are not responsible for their actions or content.

7. Confidentiality

Each party may receive confidential information of the other. The receiving party will use the same care it uses to protect its own confidential information (no less than reasonable care) and will use such information only to perform under these Terms.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. We do not warrant that the Services will be uninterrupted or error‑free.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ACURADOCS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR REVENUE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO ACURADOCS FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You will indemnify and hold Acuradocs and its officers, directors, employees, and agents harmless from any claims, losses, and expenses (including attorneys' fees) arising from your use of the Services or violation of these Terms.

11. Termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, pose a security risk, or for other lawful reasons. Upon termination, your right to use the Services ceases. Sections intended to survive (including ownership, disclaimers, limitations of liability, and indemnification) will continue to apply.

12. Governing Law & Disputes

These Terms are governed by the laws of Scotland without regard to conflict of laws rules. Disputes will be resolved in the courts located in Scotland, unless otherwise required by law.

13. Changes to Terms

We may update these Terms from time to time. We will post the updated Terms and revise the "Effective" date above. Continued use of the Services after changes become effective constitutes acceptance.
